JobHub Pro Terms of Service

1. Definitions

For clarity and to align with standard SaaS practices:

• Account: Your unique login credentials and profile for accessing the Service.
• Content: Any text, images, files, photos, messages, selections, approvals, schedules, or other data you upload or input into the Service.
• Subscription: Your paid access plan (e.g., Base or Pro tiers) on a monthly or annual basis.
• User or You: Any individual or entity using the Service, including contractors, their employees, or invited clients.
• Service: The JobHub Pro platform, including all features for project management, collaboration, and payments.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.

To access the Service, you must create an Account by providing accurate information (e.g., name, email, company details). You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. Notify us immediately of any unauthorized use at support@jobhubpro.io. We reserve the right to suspend or terminate Accounts for violations.

3. Subscriptions and Payments

Subscription Plans:

The Service is provided on a subscription basis. Details (e.g., features for Base vs. Pro, pricing) are outlined during signup or in your order confirmation. We may offer free trials or custom websites as incentives.

Payments:

All payments are processed securely via Stripe. You authorize recurring charges for your Subscription term. Pricing may change with 30 days' notice; continued use constitutes acceptance. Taxes, fees, and add-ons are your responsibility.

Billing and Renewals:

Subscriptions auto-renew unless canceled at least 5 days before the end of the term. No refunds for partial periods, except as required by law (e.g., within 30 days for initial cancellations in certain states).

Non-Payment:

We may suspend access for overdue payments. You agree to pay any collection costs, including attorneys' fees.

Cancellations:

You may cancel anytime via your Account; access ends at the term's conclusion. We may cancel for non-payment or breach.

4. Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes (e.g., managing construction projects) during your Subscription term.

Permitted Use:

Upload Content for project collaboration, invite clients, process payments, and access features like selections galleries and timelines.

Prohibited Use:

You may not: (i) reverse engineer, decompile, or modify the Service; (ii) use for illegal activities or to violate laws (e.g., uploading infringing Content); (iii) overload or disrupt the Service; (iv) share Accounts without permission; (v) use automated tools (e.g., bots) except as approved; (vi) resell or sublicense the Service; or (vii) upload viruses or harmful code.

User Responsibilities:

You are solely responsible for your Content's accuracy, legality, and compliance (e.g., with building codes, HIPAA if applicable to health-related specs, or export controls). We are not liable for project outcomes, delays, or disputes arising from your use. Backup your data; we are not a storage service.

Service Availability:

We aim for high uptime but provide the Service "as is." Downtime may occur for maintenance; we will notify in advance where possible. Force majeure events (e.g., natural disasters) excuse performance.

5. Content and Data Ownership

Your Content:

You retain ownership of your Content but grant us a worldwide, royalty-free license to host, store, display, and use it to provide and improve the Service (e.g., for analytics or AI enhancements).

Our IP:

We own all intellectual property in the Service, including software, designs, trademarks (e.g., "JobHub Pro"), and any customizations (e.g., branded portals). You may not copy or use our IP without consent.

Feedback:

Any suggestions you provide become our property without compensation.

Data Handling:

See our Privacy Policy for details on personal data. We may use de-identified data for business purposes. You represent that you have rights to upload Content and indemnify us against claims.

6. Privacy and Compliance

Your use is subject to our Privacy Policy (linked at https://jobhubpro.io/privacy-policy), incorporated herein. We comply with VCDPA, CCPA, and other laws as detailed there. You must ensure your use (e.g., sharing client data) complies with applicable laws; we disclaim liability for your non-compliance.

7. Warranties and Disclaimers

You warrant that your Content does not infringe third-party rights and complies with laws.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT ERROR-FREE OPERATION, ACCURACY OF RESULTS (E.G., PROJECT SCHEDULES), OR THAT THE SERVICE WILL MEET YOUR NEEDS. NO ADVICE FROM US CREATES A WARRANTY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY IS CAPPED AT THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold us harmless from claims arising from your use of the Service, Content, or breach of these Terms, including reasonable attorneys' fees.

10. Termination

By You:

Cancel via Account settings.

By Us:

For breach (e.g., non-payment, misuse), with or without notice. We may also terminate for convenience with 30 days' notice.

Effects:

Upon termination, access ends; export your data within 30 days. Unpaid fees remain due. Sections surviving termination: IP, Liability, Indemnification, Governing Law.

11. Governing Law and Dispute Resolution

These Terms are governed by Virginia law, without regard to conflicts principles. Any disputes shall first be submitted to non-binding mediation in Blacksburg, Virginia. If unresolved within 90 days, disputes shall be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules in Blacksburg, Virginia. Judgment may be entered in any court with jurisdiction. You waive jury trials and class actions.

12. Changes to Terms

We may update these Terms; changes posted here with revised date. Significant changes notified via email or Service. Continued use constitutes acceptance.

13. Miscellaneous

Entire Agreement:

These Terms, plus any order forms, supersede prior agreements.

Assignment:

We may assign these Terms; you may not without consent.

No Waiver:

Failure to enforce a provision is not a waiver.

Force Majeure:

Excused for events beyond control.

Severability:

Invalid provisions severed; remainder enforceable.
