Electronic Records and Signatures Agreement

1. Parties and Definitions

"JobHub Pro," "Platform," "we," "us," or "our" refers to Dextera Software LLC, a Virginia limited liability company, doing business as JobHub Pro.

"User" refers to any individual or entity that creates an account on JobHub Pro, including both Contractors and Clients.

"Contractor" refers to a User who uploads, prepares, or requests documents for electronic signature.

"Client" refers to a User who is requested to review and electronically sign documents.

"Electronic Record" means any contract, agreement, disclosure, authorization, or other record created, generated, sent, communicated, received, or stored electronically through the Platform.

"Electronic Signature" means an electronic sound, symbol, or process attached to or logically associated with an Electronic Record and executed or adopted by a User with the intent to sign the record, including typed names in cursive font, drawn signatures, and system-generated signature acknowledgments.

2. Scope of This Agreement

This Agreement applies only to documents exchanged and executed between Contractors and Clients using the JobHub Pro Platform.

JobHub Pro is not a party to any document signed between Contractors and Clients and does not draft, approve, endorse, or verify the legal sufficiency of such documents.

3. Consent to Electronic Records and Signatures

By using JobHub Pro, you expressly consent to:

• Conducting transactions electronically
• Receiving, reviewing, and signing documents electronically
• Using Electronic Signatures in place of handwritten signatures

You agree that your Electronic Signature:

• Is the legal equivalent of your handwritten signature
• Has the same force and effect as a wet-ink signature
• Is binding and enforceable under applicable law

Electronic Records and signatures are a condition of using the Platform. Users who do not consent must not create an account or use JobHub Pro.

4. Signature Methods

JobHub Pro permits the following Electronic Signature methods:

• Typed name rendered in cursive or script format
• Drawn signature using a mouse, stylus, or touchscreen
• System-generated date reflecting the date of signature

Each signature is applied only by authenticated JobHub Pro Users and is associated with the signer's account credentials.

5. Authentication and Audit Trail

To ensure integrity and enforceability, JobHub Pro maintains an electronic audit trail that may include:

• User account identification
• Email address associated with the signer
• Date and time of signature
• IP address
• Document version or hash
• Confirmation of affirmative consent at the time of signing

You agree that this audit trail constitutes credible evidence of your identity, intent, and acceptance.

6. Legal Effect and Enforceability

This Agreement is governed by:

• The Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.)
• The Virginia Uniform Electronic Transactions Act

Electronic Records and signatures executed through JobHub Pro shall not be denied legal effect, validity, or enforceability solely because they are in electronic form.

7. Financial and Payment Authorizations

You acknowledge that documents signed electronically through JobHub Pro may include financial obligations, including but not limited to:

• Payment authorizations
• Change orders
• Invoices
• Refund or adjustment agreements

Electronic Signatures applied to such documents are legally binding and enforceable to the same extent as handwritten signatures.

8. Paper Copies and Record Access

Users may print or download copies of fully executed documents directly through the Platform.

Electronic Records will remain available for download until the associated project is archived by the Contractor.

9. No Right to Withdraw Consent

Because electronic records and signatures are fundamental to the operation of JobHub Pro:

• Users are not permitted to withdraw consent to electronic transactions while maintaining an account
• Withdrawal of consent is effectuated only by discontinuing use of the Platform
• Withdrawal does not affect the validity or enforceability of previously executed documents

10. Platform Neutrality

JobHub Pro acts solely as a technology platform facilitating document exchange and electronic signatures.

JobHub Pro:

• Does not provide legal advice
• Does not validate document content
• Does not guarantee enforceability of user-created documents
• Bears no responsibility for the substance of agreements between Contractors and Clients

11. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

12. Acceptance

By checking the acceptance box during account creation or prior to signing any document, you affirmatively agree to this Agreement and consent to the use of Electronic Records and Electronic Signatures as described above.
